3. No Legal Advice and No Lawyer–Client Relationship
The content on the Website, including text, articles, blog posts, graphics and any other material (the “Content”), is provided for general information purposes only. It is not legal, tax, accounting or financial advice, and it should not be relied on as such. Laws, tax rules and CRA policies change frequently, and the application of the law depends on the specific facts of each situation.
Visiting the Website, reading the Content, sending us an email, calling us, or submitting a form on the Website does not create a lawyer–client relationship between you and Northgate Law. A lawyer–client relationship is formed only when:
- we have confirmed that we have no conflict of interest,
- we have agreed to act for you, and
- we have signed a written retainer agreement with you.
Until then, please do not send us confidential, privileged or time-sensitive information. Messages sent before a retainer is in place may not be protected by solicitor–client privilege. If you have a deadline (for example, a CRA response date, notice of objection or appeal limitation period), do not rely on the Website or on an unanswered enquiry. Contact a lawyer immediately.
4. No Guarantee of Results
Any references on the Website to past experience, matters handled, years of practice, client testimonials or outcomes are for information only. They do not predict or guarantee a similar result in your matter. Every case is different, and the outcome depends on its own facts and legal issues.
5. Use of the Website
You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to:
- use the Website in a way that violates any applicable law or regulation
- submit false, misleading or fraudulent information, or impersonate any person or entity
- attempt to gain unauthorized access to the Website, its servers, or any connected systems
- introduce viruses, malware or any other harmful code
- copy, scrape, harvest or collect information from the Website using automated tools without our written permission
- interfere with or disrupt the Website or its security features
- use the Website to send unsolicited commercial messages (spam)
We may suspend or restrict your access to the Website at any time if we believe you have breached these Terms.
6. Consultation Requests and Forms
When you submit a consultation request or other form through the Website, you confirm that the information you provide is accurate and that you are authorized to provide it. Submitting a form is a request for us to contact you. It is not a guarantee that we will accept your matter. We may decline any request, including where we have a conflict of interest, where the matter is outside our practice areas, or where we do not have capacity.
We will handle the information you provide in accordance with our Privacy Policy.
7. Fees and Services
The Website does not set out fees for legal services. Fees, billing practices and the scope of services are set out in a written retainer agreement signed with each client. Any estimate of fees or timelines given before a retainer is signed is not binding. Initial consultations may be offered on terms that we confirm with you in advance.
8. Intellectual Property
The Website and all Content, including the Northgate Law name, logo, graphics, text, design, layout, articles and other materials, are owned by or licensed to Northgate Law and are protected by Canadian and international copyright, trademark and other intellectual property laws.
You may view the Website and print or download a copy of the Content for your own personal, non-commercial use, provided that you keep all copyright and other notices intact. You may not reproduce, modify, distribute, republish, sell or create derivative works from the Content without our prior written permission. Linking to our public pages is permitted, provided the link is not misleading and does not suggest an endorsement or affiliation that does not exist.
9. Third-Party Links and Services
The Website may contain links to third-party websites, social media platforms and communication tools (such as Facebook, X, YouTube, WhatsApp or Telegram). These links are provided for your convenience only. We do not control, endorse or take responsibility for third-party websites or their content, security or privacy practices. Your use of any third-party site is at your own risk and subject to its own terms.
10. Electronic Communications
Communication by email, text message or messaging apps is not always secure, and information sent this way may be intercepted. By choosing to communicate with us electronically, you accept this risk. Please do not send sensitive or confidential documents before we have agreed on a secure method of exchange.
If you subscribe to our updates, we will send you commercial electronic messages only in accordance with Canada’s Anti-Spam Legislation. You can unsubscribe at any time using the link in our emails or by contacting us.
11. Accuracy of Information and Availability
We try to keep the Website accurate and up to date, but we do not warrant that the Content is complete, current or error-free. Some Content may be out of date, particularly where laws or tax rules have changed since it was published. We do not guarantee that the Website will be available at all times, uninterrupted or free from errors, viruses or other harmful components. We may change, suspend or discontinue any part of the Website at any time without notice.
12. Disclaimer of Warranties
To the fullest extent permitted by law, the Website and the Content are provided “as is” and “as available”, without any warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement.
13. Limitation of Liability

You agree to indemnify and hold harmless Northgate Law and its lawyers, employees and contractors from any claims, losses, damages, liabilities and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website, or your violation of any law or the rights of any third party.
15. Privacy
Your use of the Website is also subject to our Privacy Policy, which explains how we collect, use, disclose and protect your personal information in accordance with Canadian privacy law. Please read it carefully. The Privacy Policy is available at https://northgatelaw.ca/privacy-policy/.
16. Accessibility

17. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. You agree that the courts of Ontario have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Website, except where applicable law gives you the right to bring a claim elsewhere.
18. General Provisions
- Entire agreement: these Terms, together with our Privacy Policy, are the entire agreement between you and Northgate Law about the Website. They do not replace any retainer agreement you sign with us.
